PLEASE READ THE FOLLOWING TERMS AND CONDITIONS OF USE CAREFULLY BEFORE USING THIS WEBSITE. All users of this site agree that access to and use of this site are subject to the following terms and conditions and other applicable law. If you do not agree to these terms and conditions, please do not use this site or purchase it’s products.

Agreement

A verbal quote and invoice constitutes a purchase order. Magnolia Vine and Co. LLC upon acceptance of a purchase order placed by the buyer, will supply the products and services agreed upon to the buyer, pursuant to the terms and conditions of this Agreement and is expressly limited to the terms and conditions of this agreement.

 

Payments

Orders quoted at $500 or more will require a 50% down payment before any work will be done. All other orders will need to be paid in full before shipment. Magnolia Vine and Co. LLC accepts paypal.

Custom work

Please allow up to 72 hours for quotes on custom pieces and a longer production time.

 

Variances

Color representations on computers and other devices can be different based on settings and various display devices. We can not guarantee that a finished product will render the exact online color representation.
We highly recommends that you view the product in person before purchasing. We would be happy to schedule appointments at your convenience for viewing.

Production & Delivery

Delays in production and shipping may occur. If a delay occurs, please don’t panic. We work hard to get your purchase to you as soon as humanly possible.  Magnolia Vine and Co. LLC takes great care to insure that every piece that we sell meets the highest standards of quality and craftsmanship.  Please keep in mind that we are a two person team who works hand crafted, made to order items that go through multiple fabrication steps, all of which are susceptible to unforeseen complications and/or damage.  We stand behind the quality of everything we sell and your satisfaction with our products is of the utmost importance to us.  In most cases, delays occur due to busy seasons, holidays, production delays, unforeseen custom order complications, or other factors not in our control. We will make all efforts to quote accurate lead times and notify all our customers promptly.

Damages

Happy customers make us happy.  Magnolia Vine and Co. LLC takes great care to insure that every piece we sell meets the highest standards of quality and craftsmanship.  We stand behind the quality of everything we sell and your satisfaction with our products is of the utmost importance to us.  All of our products are insured by the shipping company to arrive in perfect condition.  Because of the nature of wood, products can change over time due to light exposure, moisture, heat, or other factors, we cannot warrant against changes that may occur naturally over time.

We are not responsible for any damage to the piece or pieces once inside the home. Damages include but are not limited to scratches, chips, scuffs, rips, tears, glass/mirror breakage due to normal household use, misuse, abuse or accidents; damage or discoloration caused by sunlight, wear or damage due to moving pieces from the original delivery location or address.

If any pieces are damaged during delivery, Magnolia Vine and Co. LLC needs to be notified within 24 hours. After this time, Magnolia Vine and Co. LLC is not responsible for repairs or replacement.

Privacy

Email, telephone number and mailing addresses will NEVER be shared with third party groups- period. We value our customers privacy.

Limitations of Liability

In no event shall either party be liable here-under for incidental, special, indirect, consequential, or punitive damages even if advised in advance of the possibility for such damages and vendor's total liability for damages under this Agreement and the Order shall be limited to the total fees due here-under for the Invoice upon which a claim is based.

Warranty

Magnolia Vine and Co. LLC does not in any way provide a warranty on any items sold. Items are sold "as is".

Indemnification

You agree to indemnify, defend, and hold harmless Magnolia Vine and Co. LLC its officers, directors, employees, agents, licensors and suppliers (collectively the “Service Providers”) from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of these terms and conditions or breach of any representation, warranty, covenant, agreement, or obligation under the order or this Agreement. Neither party will be responsible for indemnifying another party hereto where the basis of the indemnity claim arises out of such other party’s own negligence or willful misconduct.

 

Governing Law

The Order and this Agreement shall be governed by the laws of the State of North Carolina, without reference to conflicts of law principles.  Any legal suit, action or proceeding arising out of or relating to the Order or these this Agreement shall be commenced in a court in North Carolina.

Force Majeure
Neither party shall be liable for any failure to perform or delay in performance of this Agreement to the extent that any such failure arises from acts of weather, war, civil insurrection or disruption, riots, government act or regulation, strikes, lockouts, labor disruption, cyber or hostile network attacks, inability to secure transport, or any cause beyond such party’s commercially reasonable control.

Entire Agreement

The Order, this Agreement and the operative provisions of any quotation issued by Magnolia Vine and Co and any purchase order issued by Buyer, sets forth the entire agreement and understanding among the parties as to the subject matter hereof, and merges and supersedes all prior discussions, agreements, and understandings of every and any nature among them. No proposal, purchase order, order confirmation, acceptance, or any other document provided by either Party to the other, nor any electronic click-wrap, terms of use or similar online consent or acceptance language accompanying or set forth as a prerequisite to any electronic interface or utility associated with any Work, shall be deemed to amend the terms hereof and any such contradictory or additional terms shall be ineffective.

Magnolia Vine and Co. LLC reserves the right, at its sole discretion, to change, modify, add or remove any portion of the Terms in whole or in part, at any time without notification.
